Brief
Optimum Communications disclosed that it has added two new board members who will join a board-created special committee that will explore "potential strategic and financial transactions."
Optimum did not say if that would include a look into a potential sale of the company. But the committee does have the power – on behalf of the board – to review, evaluate and authorize decisions in areas such as financing, restructuring, reorganizing and recapitalization. It will also be available to investigate "actual or potential conflict of interest" between the Optimum and certain related parties, including current or former directors, officers and equity holders.
Per this November 3
8-K filing
, Optimum (formerly Altice USA) is increasing the size of its
board of directors
from nine to eleven via the appointments of Elizabeth Abrams and Daniel Silvers.
Insight
The formation of the committee comes as Optimum looks to manage a massive debt load that includes $6.3 billion due in 2027, $6.2 billion due in 2028 and $3.8 billion due in 2029. That debt is hanging over Optimum like "The Sword of Damocles," MoffettNathanson analyst Craig Moffett said in a recent
research note

Optimum Q2 results a 'side show' amid massive debt overhang – analyst
"Addressing those maturities remain a top priority," Optimum CFO Marc Sirota said on Optimum's Q2 2026 earnings call in August. Optimum is scheduled to post Q3 results on November 6, but
said
will not host a call "[I]n light of the Company's ongoing efforts to achieve a comprehensive and consensual restructuring of its capital structure."
In June, Optimum initiated a
series of transactions
, including the consolidation of its Optimum East footprint (formerly Cablevision Systems) and its 50.1% stake in Lightpath, a fiber-focused business services unit, into a new unrestricted subsidiary called CSC Investments II. That move essentially moved those assets out of the reach of CSC Holdings creditors. Moffett said those moves could "set the stage for a Chapter 11 filing for CSC Holdings." New Street Research analyst Vikash Harlalka reckons the move
could also improve Optimum's odds of striking a deal with creditors
.
But the clock is ticking. Moffett views the $4.1 billion maturity due in April 2027 a possible "drop dead" date for creditor negotiations.
In August, the company
disclosed
that it received a notice from the New York Stock Exchange that the company is not in compliance because its stock price was trading at less than $1.00 each over a 30-day trading period. It was given a six-month grace period to return to compliance. Optimum shares, which are down 57% year-to-date, was trading at $0.70 each in Wednesday morning trading.

Abrams and Silvers, the two new board members, are both in line to receive a monthly fee of $75,000, along with a supplemental per diem for participating in mediation, arbitration, depositions or court appearances.
Per his
LinkedIn profile
, Silvers is a managing member of Matthews Lane Capital Partners, and executive chairman of Winventory, described as a tech-focused event ticketing management company that enables a "flexible season ticket ownership experience." He's also a former director at Avid Technology and a former VP of Fortress Investment Group and Bear Stearns.
Abrams
currently is a managing member of Spruce Brook Partners, a New York-based consulting and corporate governance firm she founded in 2023. She is also the former CFO of K Health and a former senior managing director at Guggenheim Partners and Millstein & Co.
