马来西亚DNB融资12.7亿美元:双5G网络格局下推进频谱升级

马来西亚批发5G网络运营商Digital Nasional Berhad(DNB)宣布完成52亿林吉特(约合12.7亿美元)的伊斯兰银团定期融资,用于支持该国5G发展的下一阶段建设。这笔交易是马来西亚有史以来针对非上市公司安排的最大规模银团贷款之一,由Maybank Investment Bank担任牵头安排行、账簿管理人及协调机构,AmInvestment Bank、CIMB Islamic Bank、RHB Islamic Bank以及大华银行(马来西亚)担任联合牵头安排行。在马来西亚向双5G网络框架过渡的关键节点,这一融资安排的落地具有多重信号意义。

融资背后的国家退出机制

这笔贷款最引人关注之处,并不在于金额本身,而在于其承接的功能。根据DNB披露,新贷款将为马来西亚财政部有限公司(MOF)以普通股股东身份退出公司铺平道路。目前MOF持有DNB 31.18%的股份,而三大马来西亚运营商——CelcomDigi、Maxis和YTL Communications各持22.94%。今年5月,三家运营商还各自向DNB追加注资2.02亿林吉特(约4945万美元),用于支撑5G运营和频谱购置。

频谱层面的进展同样值得关注。经马来西亚通信与多媒体委员会(MCMC)分配,DNB持有的全部240MHz频谱已完成向频谱指配(spectrum assignment)的转换,将于2026年10月1日正式生效。DNB方面表示,这一频谱资源将显著提升网络容量、效率和性能,带来更高速率、更低时延的用户体验,同时为Massive MIMO、载波聚合、5G Advanced以及AI驱动的网络能力部署提供支撑。

从技术演进角度看,DNB正试图在双网络格局确立之前夯实自身的技术领先性。马来西亚此前结束了由DNB独家建设全国单一批发5G网络(SWN)的模式,引入第二大5G网络由UEM Edge旗下与Digital Eden合资的企业承担,形成双网络竞争框架。在新的市场结构下,DNB从"唯一建设者"转变为"竞争参与者之一",其网络能力、频谱资源和资本结构的优化都直接关系到未来竞争地位。

双网格局下的资本竞速

本次融资采用伊斯兰银团贷款结构,也体现了马来西亚作为全球伊斯兰金融中心的融资优势。对区域新兴市场的5G建设而言,DNB此番资本运作提供了一个可参考的样本:在国家资本逐步退出后,如何通过市场化融资工具维持巨额网络投资节奏,同时兼顾运营商股东的利益平衡。三大运营商合计持股已接近69%,政府普通股退出后,DNB的公司治理将更趋市场化,但其批发模式能否在双网竞争中持续产生合理回报,仍是后续观察重点。

Digital Nasional Berhad (DNB), one of Malaysia's wholesale 5G network infrastructure operators, has secured 5.2 billion Malaysian ringgit (US$1.27 billion) in a syndicated Islamic term financing to support the next phase of 5G growth as the country continues its transition to a dual 5G network framework. The transaction is one of the largest syndicated loan facilities ever arranged for an unlisted company in Malaysia. Maybank Investment Bank acted as the mandated lead arranger, bookrunner and coordinator, alongside AmInvestment Bank Berhad, CIMB Islamic Bank, RHB Islamic Bank and United Overseas Bank (Malaysia), which were the joint mandated lead arrangers. AmInvestment Bank acted as the financial advisor to DNB. "The successful completion of this MYR5.2 billion financing exercise reflects strong confidence in our business fundamentals, operational track record and long-term role in Malaysia’s digital economy," said DNB CEO Azman Ismail. According to DNB, the new loan will ease the planned exit of Malaysia's Ministry of Finance Inc. (MOF) as an ordinary shareholder in the company. However, the government will retain a special share in DNB to protect national interests and ensure "continued stewardship of key strategic matters." The MOF currently holds a 31.18% stake in the company. According to DNB, all 240MHz of its spectrum holdings have been converted into a spectrum assignment following an allocation by the Malaysian Communications and Multimedia Commission (MCMC). This takes effect on October 1, 2026. "The 240 MHz spectrum block will enhance network capacity, efficiency and performance, enabling faster speeds, lower latency and improved customer experience. It also supports the deployment of advanced technologies, including Massive MIMO, carrier aggregation, 5G Advanced and AI-driven network capabilities, further strengthening DNB’s leadership in next-generation connectivity," the company said. She started with regional IT publications under CMP Asia (now Informa), including Asia Computer Weekly, Intelligent Enterprise Asia and Network Computing Asia and Teledotcom Asia. This was followed by stints with Computerworld Hong Kong and sister publications FutureIoT and FutureCIO.
