Marvell Technology struck a deal worth $115 billion to acquire optical technologies specialist Lumentum, a tie-up designed to address complex connectivity requirements across next-generation AI infrastructure. In an all-stock transaction, Marvell shareholders will own 67% of the combined company and Lumentum shareholders the remaining 33%. The deal is expected to close in the first half of 2028. Bloomberg noted it is the largest M&A deal in 2026 in terms of equity and the biggest ever in the technology sector. Marvell stated it would combine its strengths in electrical and optical interconnect and advanced semiconductor offerings with Lumentum’s expertise in high-performance lasers, optical transceivers and circuit switching, and specialised compound semiconductor manufacturing. It explained the AI infrastructure industry is at an inflection point, with rapidly growing bandwidth requirements and “physical limitations of copper-based connectivity” accelerating the transition towards optical technologies. The pair stated the tie-up would also create a category leader in AI connectivity, accelerate customer innovation, pool specialised manufacturing capabilities and create long term stockholder value, with the combined company’s addressable market growing to $550 billion. Marvell chair and CEO Matt Murphy said AI infrastructure is undergoing a fundamental architectural shift towards optical connectivity which has created a once-in-a-generation opportunity. “The companies that move first and help define this transition will set the standard for decades to come,” he said.
